2014 SHERIFF VEHICLE WITH TOWN OF BOULDER VEHICLE LEASE This Agreement is entered into between the Jefferson County Sheriff,the LESSOR,whose address is P.O. Box H, Boulder, Montana 59632, a county of the State of Montana, hereinafter referred to as the "Sheriff' and the City of Boulder, LESSEE, whose post office address is 304 North Main Street, P.O. Box 68, Boulder, MT 59632, a municipal corporation of the State of Montana, hereinafter referred to as the "City of Boulder". WHEREAS, the Sheriff is the owner of a patrol car, the make, model and description of which is more particularly set out below; and WHEREAS, the City of Boulder wishes to lease the patrol car from the Sheriff; and WHEREAS, the parties desire to enter into a formal written agreement to establish the terms of the lease of the patrol car described herein; NOW THEREFORE, in consideration of the mutual promises, benefits and agreements set forth herein, the parties agree as follows: 1. PURPOSE. The purpose of this agreement is to set forth the terms and provisions for the lease of a patrol car by the Lessee, the City of Boulder, that is owned by the Sheriff. The patrol car will be used by the Boulder Police Department in all duties connected with the Department providing services to the citizens of Boulder, Jefferson County, and the surrounding areas. 2. DESCRIPTION OF LEASED VEHICLE. The patrol car that is subject to the lease agreement is described as: 2009 Chevrolet Impala; Title No. H 155545 ; VIN# 2G1WS57M091247510 3. TERM OF LEASE. The term of this lease shall be for a period not to exceed three years, beginning on November 1, 2014, and ending on October 31, 2017. 4. RENTAL. In consideration of these presents, the City of Boulder agrees to pay to the Sheriff,as rent for the patrol car the sum of One Dollar($1.00)only for the term of the lease. 5. MAINTENANCE & INSURANCE. The City of Boulder agrees to assume liability and maintenance for the operation of the vehicle while it is in its possession, including insurance, driver's insurance and shall limit those authorized to drive the vehicle to properly trained members and reserve officers of the Boulder Police Department. The City of Boulder is familiar with the leased vehicle, and accepts the same in its present condition. The City of Boulder shall,at its expense, —1— keep the lease vehicle in as good condition and repair as it was at the date of the commencement of the lease, reasonable wear and tear excepted. 6. CONDITION OF LEASED VEHICLE. Neither the Sheriff nor its agents have made any representation with respect to the leased vehicle except as expressly set forth in this Agreement. The City of Boulder has examined the vehicle and accepts, "AS IS" in its present condition. 7. INDEMNITY AND LIABILITY. During the term of this Agreement, each of the parties shall indemnify the other and hold the other harmless from any and all loss, cost, damage, claim of damage, liability or expense arising from the negligent act of the party causing or alleging to cause any injury or claim of injury or any other claim to either person or property upon or adjacent to said vehicle arising out of, or resulting out of or in any manner connected with said vehicle or the use, misuse or disuse thereof. 8. DISPUTES. It is mutually agreed that the performance or breach of this Agreement and its interpretation shall be governed by the laws of the State of Montana. In the event of litigation concerning the terms of this contract, venue shall be in the Montana Fifth Judicial District, Jefferson County. 9. EXECUTION.
