LEASE AGREEMENT THIS AGREEMENT constitutes a legal and binding agreement entered into between JEFFERSON COUNTY, PO Box H, Boulder, Montana a political subdivision of the State of Montana, acting by and through it's Board of County Commissioners hereinafter called the County, and Larry Feight, PO Box 525, Whitehall, hereinafter referred to as the Lessor. WHEREAS, the Lessor is the owner of certain reat property more particularly described herein, which it desires to lease; and WHEREAS, the County desires to lease the property from the Lessor; and WHEREAS, the parties desire to enter into a formal written agreement to establish the terms of the lease of the premises; NOW THEREFORE, in consideration of the mutual promises, benefits and agreements set forth herein, the parties agree as follows: 1. Purpose. The purpose of this agreement is to set forth the terms and provisions for the lease ofreal property and improvements for use by the Jefferson County Health Department. 2. Description of Lease Premises. The premises which are the subject of this lease agreement are located at 7 East Legion, Whitehall, Montana. 3. Tel'm of Lease. The premises shall be leased to the County beginning October 5, 2002 and shall terminate on the 5th day of October, 2005, unless sooner terminated as provided in Section 9. This lease maybe renewed for a like term upon written agreement signed by both parties. 4. Rental. The County shall pay to the Lessor a monthly rental of two hundred twenty nollOO Dollars ($220.00). This first of such payments shall be due the 5th day of October, 2002, and each payment shall be due on or before the 5th day of each and every consecutive month thereafter for the remainder of the term of this lease. The monthly rental fee may be renegotiated annually. 5. Alterations, Repah's & Improvements. The Lessor shall be responsible for all alterations, repairs and improvements to the lease premises if approved by the Lessor. Whitehall Public Health Office Lease Agreement.wpd 1 . . 6. Condition of Lease Premises. Neither the Lessor nor its agents have made any representation with respect to said lease premises except as expressly set forth in this Agreement. 7. Duties of County upon Termination of Agreement. Upon termination of this lease, the County shall surrender the leased property to the Lessor, and the County, upon or at any time after such termination, may without further notice, re-enter the lease property and repossess it. All personal property placed upon said premises by the Count). shall be removed within thirty (30) days after the date of termination. Property remaining on the property after the (30) day period will become property ofthe Lessor. 8. Indemnity and Liability Terms. During the term of this agreement, each of the parties shall indemnify the other and hold the other harmless of and from any and all loss, cost, damage, claim of damage, liability or expense arising from any injury or claim of injury or any other claim to either persons or property upon or adjacent to said property arising out of, or resulting out of or in any manner connected with said property or the use, misuse or disuse thereof. 9. Termination Prior to Natural Expiration. Either party may terminate the lease prior to the natural expiration of the term set out in Section 3 above, by providing the other party with written notice of its intent to terminate the lease in sixty (60) days. In the event of tennination, the Lessor agrees to honor any subleases executed in compliance with Section 10. 10. Subleases & Assignments. The County intends to sublease a portion of this facility to Golden Triangle. The Lessors agree to honor such sublease of the facilities during the duration of this agreement. The County may sublease or assign this lease or any portion of the leased premises to any other person or entity with approval and consent of the Lessor. 11. Modifications. No letter or other communication passing between the parties to this agreement, concerning any matter occurring during this contract period, shall be deemed a part of this contract, a contract renewal or an extension of the contract unless it is distinctly stated in such letter or communication that it is to constitute part of this contract, and such letter or communication is attached as an Appendix to this agreement and is signed by the authorized representatives of each of the parties to this contract. It is mutually agreed that the performance or breach of this Contract and its interpretation shall be governed by the laws of the State of Montana. In the event of litigation concerning the terms of this contract, venue shall be in the Montana Fifth Judicial District, Jefferson County. 13. Execution. The County shall reimburse the Lessor in ten (10) equal consecutive monthly installments of Two Hundred ($200.00) Dollars a month beginning on October 5, 1999 and ending July, 2000. This monthly reimbursement will be in addition to the monthly rental rate set forth in Section 4. 6. Condition of Lease Premises.
