LEA-GOLDEN TRIANGLE SUB-LEASELEA-GOLDEN TRIANGLE SUB-LEASE . . SUB-LEASE AGREEMENT THIS AGREEMENT constitutes a legal and binding agreement entered into between JEFFERSON COUNTY, PO Box H, Boulder, Montana, a political subdivision of the State of Montana, acting by and through it's Board of County Commissioners hereinafter called the County, and GOLDEN TRIANGLE COMMUNITY MENTAL HEALTH CENTER, PO Box 3089, Great Falls, Montana, 59403, hereinafter referred to as Golden Triangle. WHEREAS, the County is leasing certain real property more particularly described herein, which it desires to sub-lease; and WHEREAS, Golden Triangle desires to sub-lease the property from the County; and WHEREAS, the parties desire to enter into a formal written agreement to establish the terms of the sub-lease of the premises; NOW THEREFORE, in consideration of the mutual promises, benefits and agreements set forth herein, the parties agree as follows: 1. Purpose. The purpose of this Agreement is to set forth the terms and provisions for the sub-lease of real property and improvements currently being leased by the Jefferson County Health Department to Golden triangle Mental Health of Helena, MT. 2. Description of Lease Premises. The premises which are the subject of this Sub-lease Agreement are a portion of the building located at 7 East Legion, Whitehall, Montana, which includes two (2) rooms and two (2) bathroom facilities. 3. Term of Lease. Th~remises shall be sub-leased to Golden Triangle beginning on ~o/ z-..~'Z- ~~ the 5th day of October, ~and terminating on the 30th day of June, 2004, unless sooner terminated as provided in Section 9. This sub-lease may be renewed for a like term upon written agreement signed by both parties. The parties agree that Golden Triangle will use the above-noted premises on the following days and no others, unless a written addendum to this contract is executed, pursuant to Section 10 ofthis Agreement: Wednesdays from 8:00 am to 5:00 pm; 4. Rental. Golden Triangle shall pay to the County a monthly rental of one hundred & no/1 00 Dollars ($100.00), payable at the address noted above. The first of such payments shall Sub-lease Agreement - Golden Triangle.wpd -1- . . be due upon the execution of this agreement, and each payment shall be due on or before the 5th day of each and every consecutive month thereafter for the remainder of the term of this sub- lease. S. Condition of Lease Premises. Neither the County nor any of its agents or employees have made any representation with respect to said sub-leased premises except as expressly set forth in this Agreement. Golden Triangle has examined the sub-leased premises and accept it in its present condition, "AS IS". 6. Duties of County upon Termination of Agreement. Upon termination of this sub- lease, Golden Triangle shall surrender the sub-leased property to the County, and the County, upon or at any time after such termination, may without further notice, re-enter the sub-leased property and repossess it. All alterations, repairs and improvements including fixtures, furnishings and personal property placed upon said premises by Golden Triangle shall be removed within thirty (30) days after the date of termination. Property remaining on the property after the (30) day period will become property of the County. 7. Indemnity and Liability Terms. During the term of this Sub-lease Agreement, each of the parties shall indemnify the other and hold the other harmless of and from any and all loss, cost, damage, claim of damage, liability or expense arising from any injury or claim of injury or any other claim to either persons or property upon or adjacent to said property arising out of, or resulting out of or in any manner connected with said property or the use, misuse or disuse thereof. 8. Termination Prior to Natural Expiration. Either party may terminate this Sub- lease Agreement prior to the natural expiration of the term set out in Section 3 above, by providing the other party with written notice of its intent to terminate the sub-lease in sixty (60) days. 9. Subleases & Assignments. Golden Triangle understands that it is sub-leasing the premises from the County and understands that the owners of the premises have agreed to honor Golden Triangle's sub-lease of the facilities during the duration of this agreement. 10. Modifications. No letter or other communication passing between the parties to the Agreement, concerning any matter occurring during this contract period, shall be deemed a part Sub-lease Agreement - Golden Triangle.wpd -2- . . of this contract, a contract renewal or an extension of the contract unless it is distinctly stated in such letter or communication that it is to constitute part of this contract, such letter or communication is attached a an Appendix to this Agreement and is signed by the authorized representatives of each of the parties to this contract. 11. Disputes. It is mutually agreed that the performance or breach of this Agreement and its interpretation shall be governed by the laws of the State of Montana. In the event of litigation concerning the terms of this contract, venue shall be in the Montana Fifth Judicial District, Jefferson County. 12. Execution. This Agreement shall be executed in two duplicate originals, each of which shall be deemed to be an original. DATED this 5th day of March, 2003.
