1998 CHIP SPREADERLEA-1998 CHIP SPREADER ' , EOIIIPMENT LEASE AGREEMENT THIS AGREEMENT constitutes a legal and binding LEASE AGREEMENT between JEFFERSON COUNTY, PO Box H, Boulder, Montana a political subdivision of the State of Montana, acting by and through it's BOARD OF COIINTY COMMISSIONERS hereinafter called the LESSEE, and ART THOMPSON, hereinafter called LESSOR; The parties to this LEASE AGREEMENT in consideration of the mutual promises, benefits and agreements set forth herein, agree as follows: 1. PURPOSE. The purpose of this contract is to set forth the terms and provisions for the lease of a Chip Spreader, to Lessor, more specifically, a Spreadmaster Chip Spreader, Serial Number i25, manufactured by Flaherty Manufacturing Company and owned by Jefferson County. 2. P YMFNT The ~IY,pg~s~sPr shall pa essee the total contract sum of ~~i~G/rF..~ LKL O J O' ~a'.Jf' OT ~R~ i (S ,J O a in consideration for the ease of the personal property described above. The contracted sum shall be paid to the Lessee on or before the ,~ day of ~~, 1998. 3. TERM. The lease shall be for the months of August ~rL ~eri.emisrq 1998. This lease may not be renewed or the term extended except in a written agreement signed by the lessee and the lessor. The Lessor agrees to lease said Chip Spreader "as-is" and acknowledges that repairs to the Chip Spreader may be required to operate said spreader. Lessor agrees to assume responsibility for any and all repairs that may be required. 4. INDEMNITY -AND LIABILITY TERMS. Zt is mutually agreed and understood that LessoY is not an employee of Jefferson County. LESSOR agrees to and shall indemnify, defend and hold Jefferson County harmless from and against any and all claims, demands, actions or damages (of whatever nature or kind) involving property, persons or entities (public or private) arising out of, or resulting from the performance of this LEASE, provided such damages or injuries arise out of, or are caused by, the negligen \ ct, error, or omission of the Lessor or any agent, employee or subcontractor of Lessor. 5. ASSIGNMENTS. The parties mutually agree that there will be no i. eQVxeemNx •va ae ` ~ , ,. assignment, transfer or subleasing of this lease agreement or any interest therein unless agreed to by both parties in writing as provided below. 6. MODIFICATIONS. No letter or other communication passing between the parties to this contract, concerning any matter occurring during this contract period, shall be deemed a part of this contract, a contract renewal or an extension of the contract unless it is distinctly stated in such letter or communication that it is to constitute part of this contract, and such letter or communication is attached as an Appendix to this contract and is signed by the authorized representatives of each of the parties to this contract. Contractor may not otherwise modify the terms of the contract without the County's written approval. 7. DISPOTES. It is mutually agreed that the performance or breach of this Contract and its interpretation shall be governed by the laws of the State of Montana. In the event of litigation concerning the terms of this contract, venue shall be in the Montana Fifth Judicial District, Jefferson County. 8. EXECOTION.
